6.1. The prices of the Products presented in the Store are gross prices and include VAT or an equivalent tax if applicable to the respective sale.

6.3. The price of the Product and the currency indicated in the summary of the Order directly before its submission are binding on the Customer, taking into account the discounts, Discount Codes and other benefits that have been correctly calculated.

6.4. The prices of the Products do not include delivery costs, unless explicitly stated otherwise. Before placing an Order, the Customer receives information about the total amount to be paid.

6.5. In the case of delivery to a country or territory where customs duties, import taxes, carrier fees or other charges related to import may apply, these charges may not be included in the amount charged by the Seller.

6.6. If the payment is made in a currency other than the currency of the Client’s account, card or other payment instrument, the bank or the payment service provider may carry out a currency conversion and charge its own fees.

6.7. If the Seller announces a price reduction for the Product and the applicable regulations require the indication of the previous price, the Seller shall list next to the reduced price the lowest price of that Product valid during the 30 days preceding the introduction of the reduction.

6.8. The Seller may offer Customers discounts, Gift Cards, free or reduced delivery, and other benefits subject to the fulfillment of certain conditions.

6.11. Information about the Products and their prices presented in the Store constitute an invitation to enter into a contract within the meaning of Article 71 of the Civil Code and do not constitute an offer, subject to the absolutely binding provisions of law.

§ 7. Discount codes and promotions

7.5. The Discount Code is not exchangeable for cash or paid in cash equivalent, unless the conditions of the given Code or applicable laws state otherwise.

§ 8. Placing Orders

8.1. Customers may place Orders through the Store 24 hours a day, subject to technical interruptions or temporary unavailability of certain functionalities.

  5. accepts these Regulations;
  6. Place the Order using a button or other unambiguous function that clearly indicates that placing the Order entails the obligation to pay.

Until the Order is submitted, the Customer may check and correct the information provided and change the contents of the Shopping Cart.

8.5. Placing an Order constitutes the Client’s offer to the Seller to enter into a Sales Agreement regarding the Products included in the Order.

8.6. All Orders require payment in advance.

8.7. The Sales Agreement is concluded upon the Seller’s sending an unambiguous email confirming the acceptance of the Order for execution.

8.8. Confirmation of payment or authorization of payment originating solely from the payment operator or the bank does not constitute confirmation of acceptance of the Order for execution by the Seller.

8.9. In exceptional circumstances, after placing the Order, it may turn out that the Product is not available in the quantity ordered, particularly due to the simultaneous submission of several Orders or a failure to synchronize inventory statuses.

8.10. If it becomes apparent before the conclusion of the Sales Agreement that all or part of the Order cannot be fulfilled, the Seller will immediately inform the Customer and make the appropriate refund.

§ 9. Payments

9.1. All Orders placed in the Store require payment in advance.

9.2. The customer can use the payment methods currently available in the Store. The methods available for a specific Order are presented before placing the order.

9.3. Payments in the Store are processed by external payment service providers.

9.4. If the payment is not completed correctly, the Order may remain in the waiting status for payment for a specified period of time.

9.5. The Seller may cancel the Order for which payment has not been successfully made.

9.6. The effective payment does not in itself mean acceptance of the Order for execution or the conclusion of the Sales Agreement.

9.7. If payment has been made but the Sales Agreement has not been concluded for all or part of the Order, the Seller will refund the relevant amount using the same payment method, unless the Customer agrees on another method of refund that is not binding on them in terms of costs.

9.8. The Seller issues the sales document regarding the Order in electronic form and sends it to the e-mail address provided by the Customer or makes it available in another agreed manner, in accordance with applicable law.

§ 10. Delivery and execution of the Order

10.1. Products are delivered via carriers made available by the Seller in the Store, to the address indicated by the Customer or – if such method is available – to the selected pickup point or parcel machine. The Seller does not offer personal pickup of Orders.

10.2. The Seller delivers to the countries and territories currently supported by the Store.

10.3. The available methods and costs of delivery are presented to the Customer before placing the Order.

10.4. The Seller begins the execution of the Order after the conclusion of the Sales Agreement in accordance with § 8 of the Regulations.

The standard time for preparing an Order for shipment is between 1 and 4 days or between 3 and 5 days if additional preparation or additional availability of the Product is required.

Current information regarding the preparation time of the Order and the estimated delivery times may be published in the FAQ section.

10.5. Subject to the Pre-Sales Products and in cases of agreement on another delivery date, the Seller shall deliver the Product to the Consumer or Entrepreneur in accordance with consumer rights without undue delay, no later than within 30 days from the conclusion of the Sales Agreement.

10.6. In the case of a Pre-Sale Product, the expected availability or start of shipment date is indicated to the Customer before placing the Order.

10.7. If the Order includes both a Product available for standard shipping and a Pre-Sale Product, the Seller may fulfill the Order in more than one shipment without charging the Customer additional costs beyond the costs accepted when placing the Order.

10.8. In the case of delivery to a country or territory where duties, import taxes, customs fees, carrier fees or other charges levied by public authorities or third parties may apply, such charges shall be borne by the Customer unless they have been collected by the Seller as part of the Order.

10.9. The customer must provide the correct and complete data required to deliver the Order.

10.10. If, for reasons attributable to the Customer, the shipment cannot be effectively delivered or is returned to the Seller, in particular due to an incorrect address or failure to receive the shipment, the Customer shall bear the additional, actually incurred costs directly related to such situation by the Seller, subject to the absolute mandatory provisions of law.

10.11. If the Customer decides to resend the returned Order, shipping will be carried out after the costs of the resend are covered.

10.12. The customer should, as far as possible, check the condition of the shipment upon receipt. In the event of any damage being found, it is recommended to document it. The absence of such documentation does not deprive the Consumer of the right to file a complaint.

§ 11. Complaints – lack of conformity of the Product with the contract

11.1. The Seller is liable to Consumers and Entrepreneurs for the lack of conformity of the Product with the contract pursuant to the applicable laws, in particular the Act on Consumer Rights.

11.2. The product is compliant with the contract if it meets the requirements set out by applicable law, in particular it corresponds to the description, type, quantity, quality and other agreed characteristics and is suitable for the purposes for which such products are normally used.

11.3. The conformity of the Product with the contract is assessed taking into account the information about the Product provided to the Client before the conclusion of the Sales Agreement.

The photos of the Products are intended to present them as faithfully as possible. However, the way colors are displayed may vary depending on the parameters and settings of the Customer's device.

The difference resulting solely from the way the color is displayed on the Customer’s device does not in itself constitute a lack of conformity with the contract if the Product meets the description and other objective information provided by the Seller.

11.4. The Seller is liable for the lack of conformity of the Product with the contract existing at the time of its delivery and revealed within two years from that moment.

11.5. In the event of a lack of conformity, the Consumer may request the repair or replacement of the Product. The Seller may either make the replacement when the Consumer requests repair, or make the replacement when the Consumer requests a change of the Product, if bringing the Product into conformity in a manner chosen by the Consumer is impossible or would require excessive costs.

11.6. Repair or replacement shall be made within a reasonable time and without causing excessive inconvenience to the Consumer.

The costs of repair or replacement, including in particular the costs of shipping, transport, labor and materials, are borne by the Seller.

11.7. The consumer may submit a declaration of price reduction or withdrawal from the contract in the cases provided for by the applicable legal regulations.

11.8. The consumer may not withdraw from the contract due to a lack of conformity of the Product with the contract if the lack of conformity is immaterial. It is presumed that the lack of conformity is significant.

11.9. The complaint can be submitted:

  1. using the electronic complaint form available in the Store, if such functionality is available;
  2. By e-mail to the address: shop@wellsleepers.com.

11.10. To facilitate the handling of complaints, it is recommended that you provide the Order number, data enabling the identification of the Customer and the Product, a description of the alleged non-compliance, and the Customer’s request.

The customer may attach photographs or other materials that allow for an initial assessment of the complaint. The absence of photographs, a receipt or an invoice does not in itself constitute a basis for refusing to accept or process the complaint.

11.11. If the consideration of the complaint requires the physical inspection of the Product, the Consumer is obliged to provide the Product to the Seller. The Seller will provide information on how to send the Product and will facilitate its shipment at the expense of the Seller.

11.12. The seller responds to the Consumer’s complaint within 14 days from the date of receipt. The response will be sent on paper or another durable medium, in particular to the e-mail address indicated by the Consumer.

11.13. In the event of a successful withdrawal from the contract due to a lack of conformity, the Consumer shall return the Product at the Seller’s expense.

11.14. If the Product is covered by a warranty, the Consumer may exercise the rights arising from the warranty independently of the rights they have against the Seller for the lack of conformity of the Product with the contract.

11.15. In relation to Customers who are entrepreneurs to whom the provisions regarding Consumers or Entrepreneurs do not apply with respect to consumer rights, the Seller’s liability for warranty is excluded pursuant to Article 558 § 1 of the Civil Code.

§ 12. Right of withdrawal from the contract and return of Products

12.1. A consumer or Entrepreneur, in the capacity of a consumer who concluded a Distance Sales Agreement through the Store, may withdraw from it without giving a reason within 14 days, subject to the exceptions provided for by applicable laws.

12.2. The term begins on the day on which the Consumer or a third party designated by them other than the carrier has taken possession of the Product.

If one Order includes multiple Products delivered separately, in batches or in parts, the term begins upon the receipt of the last Product, batch or part.

To maintain the deadline, it is sufficient to send a statement of withdrawal before its expiration.

12.3. The consumer may withdraw from the contract in its entirety or, if it covers several Products, in respect of the selected Products.

12.4. The declaration of withdrawal may be submitted, in particular:

  1. using the return functionality available in the Store, if such functionality is available;
  2. By e-mail to the address: shop@wellsleepers.com;
  3. using the withdrawal form template provided below in the Regulations.

Using the form template is not mandatory.

12.5. Upon withdrawal from the contract, the Consumer is obliged to return the Product to the Seller without undue delay, no later than within 14 days from the date of withdrawal from the contract.

Products should be sent to the following address:

„Stripe Pack”
Cause Lower 13
67-400 Wschowa
Poland

unless the Seller indicates otherwise or a return address.

12.6. The consumer bears the direct costs of returning the Product in connection with the exercise of the right of withdrawal, unless the Seller expressly agrees to bear them or the obligation to bear them by the Seller arises from mandatory laws.

12.7. The Seller may provide the Consumer with an additional return method organized by the Seller. The terms and any cost of such service are presented to the Consumer before they choose it.

12.8. In the event of a successful withdrawal, the Seller will refund the consumer the refundable payment in accordance with applicable laws.

In the event of withdrawal from the entire contract, the refund also covers the cost of the original delivery of the Products to the Consumer up to the amount corresponding to the cheapest usual method of delivery offered by the Seller for the respective Order.

12.9. The seller will refund the due payments without undue delay, no later than within 14 days from the date of receipt of the statement of withdrawal from the contract.

The seller may withhold the refund until the product is received back or the consumer provides proof of its return – depending on which event occurs first.

The refund is made using the same payment method as the Consumer used, unless the Consumer explicitly agrees to another method that is not binding on them in terms of costs.

12.10. The consumer may inspect the Product to the extent necessary to ascertain its nature, characteristics and functioning, in a manner that corresponds to the possibility of inspecting the Product in a physical store.

12.11. The consumer is liable for the reduction in the value of the Product resulting from its use beyond what is necessary to ascertain its nature, characteristics and functioning.

12.12. When assessing the reduction in the value, the Seller takes into account the actual condition of the returned Product and the impact of the manner in which the Consumer handled it on its commercial value.

In particular, dirt, damage, washing, use of the Product beyond normal inspection, odor, or other signs of use, as well as the removal or damage of components that are part of the complete Product, may be taken into account if they actually caused a decrease in the value of the Product in a particular case.

12.13. The consumer has no right to withdraw from the contract in the cases specified by the applicable legal regulations, in particular with regard to:

  1. Non-prefabricated product, manufactured according to the Consumer’s specifications or designed to meet their individualized needs;
  2. The product delivered in sealed packaging, which cannot be returned after opening due to health or hygiene reasons, if the packaging was opened after delivery.

12.14. The selection of the standard variant of the Product among the variants offered by the Seller does not constitute an individual modification of the Product in itself.

§ 13. Pre-sale

13.1. The Seller may offer Products in the Store as part of a Pre-Sale. Such a product is appropriately marked before placing an Order.

13.2. Pre-sale allows the Customer to place an Order for a Product before it becomes available or accepted for storage by the Seller.

13.3. Before placing the Order, the Seller indicates to the Customer the expected availability period, the start of shipment, or any other expected delivery period for the Pre-Sale.

13.4. The indicated deadline is approximate, unless the Seller explicitly indicated it as guaranteed.

13.5. In the event of a significant change to the expected delivery date, the Seller will inform the Customer at the e-mail address associated with the Order.

13.6. If due to a delay the Customer no longer wishes to wait for the Product, they may cancel their expectation of the Pre-Sales fulfillment. In such a case, the Seller will refund the payment received for the corresponding Product.

13.7. If the execution of the Pre-Sales becomes impossible, the Seller will inform the Customer and refund the payment received for the unfulfilled Product.

13.8. If the Order includes both Products available for immediate shipment and Pre-Sale Products, the Seller may fulfill the Order in more than one shipment without charging the Customer additional costs resulting from the split of the shipment made at the initiative of the Seller.

§ 14. Out-of-court dispute resolution

14.1. The consumer may use extrajudicial methods for handling complaints and pursuing claims, including contacting the competent entity authorized to conduct proceedings for the extrajudicial resolution of consumer disputes.

14.2. Information regarding the available methods of out-of-court resolution of consumer disputes and entities authorized to conduct such proceedings can be found on the websites of the Office for the Protection of Competition and Consumers.

14.3. A consumer residing in another country may also benefit from the assistance of the competent institutions and organizations engaged in consumer protection and the out-of-court settlement of cross-border disputes.

14.4. The use of an out-of-court dispute resolution method does not deprive the Consumer of the possibility of pursuing claims before the competent court.

§ 15. Personal data

15.1. The administrator of the personal data of the Customers and users processed in connection with the operation of the Store is BASEIG S.A., with its registered office in Poznań, ul. Święty Marcin 28/41, 61-805 Poznań, KRS 0001161462, NIP 7831877465, REGON 524870296.

15.4. Detailed information regarding the processing of personal data, including the legal basis and purposes of processing, the periods for storing data, the categories of recipients, and the rights of the persons whose data are concerned, is set out in the Privacy Policy available in the Store.

15.5. The rules for the use of cookies and similar technologies are specified in the Privacy Policy or a separate cookie information available in the Store.

§ 16. Intellectual property

16.1. The content and materials made available in the Store, including in particular the name Well Sleepers, marks, logos, trademarks, graphic designs, photographs, audio-visual materials, graphics, texts, product descriptions, elements of visual identity and the Store’s layout, may be protected by intellectual property rights belonging to the Seller or third parties.

16.2. Use of the Store does not transfer any intellectual property rights to the content, materials or marks made available in the Store to the Customer.

16.3. The customer may use the content and materials of the Store solely within the scope resulting from the normal use of the Store and for their own use, subject to cases where wider use is permitted by law or with the consent of the authorized entity.

16.4 Without the consent of the authorized person, the content, materials or trademarks made available in the Store may not be used in a manner that infringes on the rights granted, including in particular copying, distributing, publishing, modifying, or using them commercially, except for cases permitted by law.

16.5. The purchase of the Product does not transfer to the Customer any intellectual property rights related to the design of the Product, its markings, graphics, patterns, or other creative elements.

§ 17. Changes to the Regulations

  7. changes in the Seller's data or other information requiring updating.

17.2. The change in the Regulations does not affect the terms of the Sales Agreements concluded before the change came into effect.

17.4. If the user does not accept the change regarding the ongoing electronic service, they may opt out of it before the date the change comes into effect.

§ 18. Final provisions

18.1. Polish law applies to this Terms of Use and to the agreements concluded through the Store.

18.2. The choice of Polish law does not deprive the Consumer of the protection granted to him by the laws applicable to his place of residence, the application of which cannot be excluded by agreement.

18.3 Disputes between the Seller and the Consumer or the Entrepreneur regarding consumer rights shall be resolved by the competent court in accordance with the applicable rules regarding the jurisdiction of courts.

18.4. Disputes between the Seller and the Client, who is neither a Consumer nor an Entrepreneur under the rights of a Consumer, shall be subject to the jurisdiction of the court with territorial jurisdiction over the Seller’s registered office.

18.5. The Terms and Conditions may be made available in different language versions. The Polish version of the Terms of Use constitutes the basic version. In the event of discrepancies between the language versions, the Polish version shall prevail, subject to the rights of Consumers under applicable laws.

18.6. If any provision of the Regulations proves invalid, ineffective or unenforceable in whole or in part, this shall not affect the validity or effectiveness of the remaining provisions.

18.7. The Terms and Conditions are available in the Store in a way that allows them to be downloaded, saved and reproduced.

INFORMATION REGARDING THE RIGHT OF WITHDRAWAL FROM THE CONTRACT

The consumer or the Entrepreneur, as a consumer, is entitled to withdraw from the contract concluded at a distance without giving a reason within 14 days.

The withdrawal period begins:

  1. in the case of a contract under which the Seller delivers the Product and is obliged to transfer its ownership – upon the taking over of the Product by the Consumer or a third party designated by the Consumer other than the carrier;
  2. in the case of a contract covering multiple Products delivered separately, in batches or in parts – at the moment when the last Product, batch or part is taken into possession.

To maintain the deadline, it is sufficient to send a statement of withdrawal before its expiration.

The declaration of withdrawal can be submitted:

  1. using the electronic return functionality available in the Store, if such functionality is available;
  2. By e-mail to the address: shop@wellsleepers.com;
  3. using the form of withdrawal below.

Using the form is not mandatory.

Upon termination of the contract, the Consumer is obliged to return the Product to the Seller without undue delay, no later than within 14 days from the date of termination of the contract. The deadline is observed if the Product is sent before the expiration of the deadline.

The product must be returned to the address:

„Stripe Pack”
Cause Lower 13
67-400 Wschowa
Poland

unless the Seller indicates otherwise or a return address.

The consumer bears the direct cost of returning the Product, unless the Seller agrees to bear it or the applicable law imposes this cost on the Seller.

The Seller refunds the Consumer the refundable payment in connection with the withdrawal, including – in the case of withdrawal from the entire agreement – the cost of the cheapest usual method of delivery of the Product offered by the Seller.

The seller may withhold the refund until the product is received back or the consumer provides proof of its return – depending on which event occurs first.

The refund is made using the same payment method as the Consumer used, unless the Consumer explicitly agrees to another method that is not binding on them with any costs.

The consumer is responsible for the reduction in the value of the Product resulting from its use beyond what is necessary to determine its nature, characteristics and functioning.

The detailed rules for withdrawing from the contract, returning the Products, reducing the value of the Products, and exceptions to the right of withdrawal are set out in § 12 of the Regulations.
